Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of Green Margin (“the App”, “the Service”), a Shopify application operated by Stabiliti Ltd (“Stabiliti”, “we”, “us”, “our”), a company registered in England & Wales.

By installing or using Green Margin, you (“Merchant”, “you”, “your”) agree to be bound by these Terms. If you do not agree, please uninstall the App and discontinue use.

2. Service Description

Green Margin is a Shopify app that enables merchants to apply a small, configurable micro-contribution to their products. These contributions are automatically calculated at the point of sale and routed to verified nature restoration projects through Stabiliti’s infrastructure.

The Service includes:

  • A configurable contribution engine that applies to selected products or your entire catalogue
  • A merchant dashboard for monitoring contributions, selecting nature restoration projects, and accessing impact reporting
  • Customer-facing badges and widgets to communicate your nature funding commitment
  • Allocation and routing of collected contributions to verified nature restoration project partners

3. Eligibility

To use Green Margin, you must operate a valid Shopify store, have the authority to bind your business to these Terms, and comply with all applicable laws and Shopify’s own terms of service.

4. Merchant Obligations

As a Green Margin merchant, you agree to:

  • Provide accurate and up-to-date information about your store and business
  • Ensure that the contribution amounts displayed to your customers are clear and not misleading
  • Not represent contributions as tax-deductible charitable donations unless you have independently verified this with a qualified tax adviser
  • Comply with all applicable consumer protection, advertising, and e-commerce laws in the jurisdictions where you operate
  • Not use the Service for any unlawful, fraudulent, or deceptive purpose
  • Maintain the accuracy of any Green Margin badges, widgets, or claims displayed on your storefront

5. Contributions & Payment Processing

Micro-contributions are calculated and applied through Shopify’s platform. All payment processing for customer transactions is handled by Shopify and your chosen payment gateway — Stabiliti does not directly process customer payments.

Contributions collected through Green Margin are invoiced to you by Stabiliti on a periodic basis (typically monthly). Stabiliti will provide transparent reporting on all contributions collected and their allocation to nature restoration projects.

Stabiliti reserves the right to adjust contribution processing schedules and to suspend contribution routing if invoices remain unpaid beyond the agreed payment terms.

6. Nature Restoration Projects

Stabiliti works with vetted nature restoration project partners to allocate contributions. While we exercise due diligence in selecting and monitoring project partners, we do not guarantee specific environmental outcomes. Project allocations are made based on availability, verification status, and alignment with Green Margin’s impact criteria.

Stabiliti may, at its discretion, reallocate contributions to alternative verified projects if a selected project becomes unavailable, fails to meet verification standards, or ceases operations.

7. Intellectual Property

All intellectual property rights in the App, including but not limited to software, design, trademarks, logos, and content, are owned by Stabiliti Ltd or its licensors. You are granted a limited, non-exclusive, revocable licence to use the App in connection with your Shopify store for the duration of your subscription.

You may not copy, modify, distribute, reverse-engineer, or create derivative works based on any part of the App without our prior written consent.

8. Data Handling

Our use of your data is governed by our Privacy Policy. By using the App, you consent to the collection and processing of data as described therein. We access Shopify store data solely to provide and improve the Service.

9. Availability & Support

We aim to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, during which the Service may be temporarily unavailable. We will endeavour to provide reasonable notice of planned downtime.

Support is available via hello@stabiliti.io. We aim to respond to enquiries within two business days.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied
  • Stabiliti shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunity
  • Our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you to Stabiliti in the twelve (12) months preceding the claim
  • We are not responsible for any loss or damage arising from Shopify platform outages, third-party payment processing failures, or factors outside our reasonable control

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Stabiliti Ltd, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any applicable law.

12. Term & Termination

These Terms remain in effect for as long as you use the App. You may terminate your use at any time by uninstalling Green Margin from your Shopify store.

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. Upon termination, any outstanding contribution invoices remain payable.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or through the App dashboard. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England & Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England & Wales.
